Acceptable Use Policy

This Acceptable Use Policy ("AUP") governs your use of the Ovation platform and services provided by Ovation PMS, Inc. ("Company," "we," "us," or "our"). This AUP is incorporated by reference into our Terms of Service and End User License Agreement.

By using our Services, you agree to comply with this AUP. Violation of this AUP may result in suspension or termination of your access to the Services.

1. Purpose

This Acceptable Use Policy establishes guidelines for the responsible and lawful use of Ovation's platform, services, and related features. Our goal is to ensure a safe, secure, and productive environment for all users while protecting our systems, infrastructure, and the integrity of our Services.

2. Prohibited Activities

You may not use the Services to engage in any of the following prohibited activities:

2.1 Illegal Activities

  • Violating any applicable local, state, national, or international law or regulation;
  • Conducting or facilitating fraudulent, deceptive, or misleading activities;
  • Engaging in money laundering, terrorist financing, or other financial crimes;
  • Trafficking in illegal goods or services;
  • Infringing on intellectual property rights, including copyrights, trademarks, or patents;
  • Violating privacy laws or data protection regulations.

2.2 Harmful Content

  • Uploading, transmitting, or storing content that is defamatory, libelous, or slanderous;
  • Distributing content that promotes violence, hatred, discrimination, or harassment;
  • Sharing sexually explicit or obscene material;
  • Posting content that exploits or endangers minors;
  • Distributing content that constitutes or promotes illegal activity.

2.3 Security Violations

  • Attempting to gain unauthorized access to the Services, other accounts, or computer systems;
  • Probing, scanning, or testing the vulnerability of our systems without authorization;
  • Circumventing authentication, security, or access control mechanisms;
  • Introducing malware, viruses, worms, trojans, or other malicious code;
  • Engaging in denial-of-service attacks or other attempts to disrupt service;
  • Intercepting or monitoring communications without authorization;
  • Using the Services to attack or compromise third-party systems.

2.4 Abuse of Resources

  • Using the Services in a manner that degrades performance for other users;
  • Consuming excessive storage, bandwidth, or processing resources;
  • Running automated scripts, bots, or crawlers except through our official API;
  • Mining cryptocurrency or running computationally intensive processes;
  • Using the Services for purposes other than their intended business use.

2.5 Spam and Unauthorized Communications

  • Sending unsolicited bulk messages or spam;
  • Sending phishing emails or messages designed to deceive recipients;
  • Harvesting email addresses or contact information from the Services;
  • Using the Services to send communications that violate anti-spam laws (CAN-SPAM, GDPR, etc.);
  • Impersonating another person or entity in communications.

2.6 Interference with Operations

  • Interfering with the proper functioning of the Services;
  • Taking actions that impose an unreasonable load on our infrastructure;
  • Disrupting other users' access to or use of the Services;
  • Modifying, adapting, or hacking the Services;
  • Reverse engineering, decompiling, or disassembling any part of the Services.

3. AI Assistant Usage

When using our AI-powered features, you agree not to:

  • Attempt to extract or reproduce the underlying AI models or training data;
  • Use the AI Assistant to generate harmful, deceptive, or illegal content;
  • Manipulate the AI Assistant to bypass safety measures or content policies;
  • Use AI-generated content to impersonate individuals or spread misinformation;
  • Submit prompts containing illegal, harmful, or sensitive personal information;
  • Use the AI Assistant to develop competing AI products or services;
  • Rely on AI outputs for critical decisions without human review and verification.

4. Data and Content Guidelines

4.1 Customer Data Responsibility

You are responsible for all data and content uploaded to or processed through the Services. You must:

  • Ensure you have all necessary rights and permissions to use the data;
  • Comply with all applicable privacy and data protection laws;
  • Obtain necessary consents before uploading personal information of third parties;
  • Not upload data that is subject to legal restrictions on transfer or processing;
  • Maintain appropriate backups of your critical data.

4.2 Confidential Information

You must take appropriate measures to protect confidential information and must not:

  • Share access credentials with unauthorized individuals;
  • Store highly sensitive data (e.g., unencrypted payment card numbers) outside designated secure fields;
  • Transmit data in violation of confidentiality agreements or regulations;
  • Expose customer or employee personal data through negligent practices.

5. Account Responsibility

As an account holder, you are responsible for:

  • Maintaining the security of your account credentials;
  • All activities that occur under your account;
  • Ensuring Authorized Users comply with this AUP;
  • Promptly reporting any unauthorized access or security incidents;
  • Revoking access for users who violate this AUP or no longer require access;
  • Implementing appropriate access controls within your organization.

6. API Usage

If you access the Services through our API, you must:

  • Comply with all API documentation and usage guidelines;
  • Respect rate limits and quota restrictions;
  • Not circumvent API authentication or access controls;
  • Keep API credentials secure and not share them publicly;
  • Not use the API to build competing services;
  • Include appropriate attribution where required;
  • Promptly rotate credentials if they are compromised.

7. Enforcement

7.1 Monitoring

We reserve the right to monitor use of the Services to ensure compliance with this AUP. We may investigate suspected violations and take appropriate action.

7.2 Consequences of Violation

Violations of this AUP may result in:

  • Warning and request to cease the violating activity;
  • Temporary suspension of access to all or part of the Services;
  • Removal of violating content;
  • Permanent termination of your account;
  • Reporting to law enforcement authorities where appropriate;
  • Legal action to recover damages or obtain injunctive relief.

7.3 Determination of Violations

We determine, in our sole discretion, whether a violation has occurred. We will attempt to provide notice before taking enforcement action, except where immediate action is necessary to prevent harm to our systems, other users, or third parties.

8. Reporting Violations

If you become aware of any violation of this AUP, please report it immediately by contacting us at support@ovationpms.com. Please include as much detail as possible, including:

  • Description of the violation;
  • Date and time of the incident;
  • Any relevant evidence or documentation;
  • Contact information for follow-up if needed.

We investigate all reports and take appropriate action. Reports may be made anonymously, but providing contact information helps us follow up if we need additional information.

9. Changes to This Policy

We may update this Acceptable Use Policy from time to time. If we make material changes, we will notify you by posting the updated policy on our website, sending an email to account holders, or displaying an in-app notification. Your continued use of the Services after the effective date of changes constitutes acceptance of the updated policy.

We encourage you to review this policy periodically to stay informed about our acceptable use requirements.

10. Relationship to Other Policies

This AUP supplements our Terms of Service, Privacy Policy, and End User License Agreement. In the event of a conflict between this AUP and other policies, the more restrictive policy shall apply. Compliance with this AUP does not guarantee compliance with other policies or applicable laws.
